Research: Few Corporate Spinoffs Deliver Value
Most corporate spin-offs fail to create shareholder value, so separations succeed only when firms deliberately plan how the new entities will earn their independence.
Summary
Studying more than 350 public spin-offs valued above $1 billion (2000-2020), Haxer, Rohrer and Rovit find half of separating companies create no new shareholder value within two years and a quarter destroy significant value, despite the usual promises of sharper focus and better capital allocation. The best performers build a deliberate separation thesis upfront: a clear equity story for the new entity, specific target financials, a defined asset perimeter, and structured execution.
Editor's opinion
A useful corrective to spin-off enthusiasm: separation itself isn't the value driver, a deliberately engineered standalone equity story is.
